Why It Moved

The Story Behind the Move

PTCup 32.3 percent this week

Catalyst

A merger agreement dated October 4 and filed on Form 8-K on October 5 under which each share converts into the right to receive 205 dollars in cash, with a 700 million dollar termination fee and closing anticipated by the third quarter of 2027. The stock went from 144.03 on October 2 to 192.26 on October 5, up 33.5 percent in one session, then printed 193.00, 193.60 and 193.73.

Why It Mattered

The cause is a filing rather than an interpretation, and technology as a sector was flat at minus 0.02 percent for the week, so none of the move was a sector tailwind.

Risk Note

The upside is now capped at 5.82 percent to the offer while the downside on a broken deal is roughly 26 percent back to the pre announcement close. A reader risks about four and a half points for every point of gain, on an outcome decided by regulators and a shareholder vote.

Reader Takeaway

A 33 percent gap is usually the market pricing an offer in full, not an opportunity you missed. When a cash price is announced, check what is left to that price before doing anything else.
